Terms of Service

These terms govern access to and use of the Everything Uganda portal, including agent accounts, operator accounts, marketplace content, bookings, payments, wallet features, and related trade-desk services.

Effective date

These Terms of Service are effective from 29 April 2026. By accessing or using Everything Uganda, you agree to these terms on behalf of yourself and, where applicable, the business or organization you represent.

If you do not agree to these terms, you must not use the portal or rely on any marketplace content, quote, booking, payment, or settlement feature provided through the platform.

Eligibility and accounts

Everything Uganda is a B2B platform for travel agents, tour businesses, operators, administrators, and invited commercial partners. You must provide accurate account information, keep credentials confidential, and promptly update details that affect verification, compliance, tax, payout, or booking operations.

We may approve, reject, suspend, or terminate accounts where required for verification, security, legal compliance, platform integrity, suspected misuse, payment risk, or breach of these terms.

Marketplace role

The portal helps agents and operators transact using structured listings, net rates, booking workflows, wallet records, settlement tools, and communication channels. Unless expressly stated in a separate written agreement, operators remain responsible for delivering listed experiences and agents remain responsible for their client-facing sales obligations.

Marketplace content may include product descriptions, rates, availability, inclusions, exclusions, cancellation rules, images, operational instructions, and supplier-provided details. Users must review applicable details before quoting or confirming a booking.

Bookings and pricing

Net rates, availability, taxes, fees, cancellation terms, and settlement requirements may vary by product, date, group size, currency, and operator rules. A quote is not a confirmed booking unless the portal or trade desk confirms it according to the applicable workflow.

Agents are responsible for client-facing pricing, disclosures, suitability checks, and compliance with laws that apply to their sales. Operators are responsible for honoring confirmed product terms, maintaining accurate availability, and notifying us promptly of operational changes.

Payments, wallet, and settlement

Payment methods, wallet functionality, refunds, chargebacks, payout timing, and settlement records are subject to platform rules, third-party payment provider terms, risk controls, and applicable law. Funds may be held, reversed, reconciled, or adjusted where required to resolve disputes, failed payments, fraud checks, sanctions checks, operator non-performance, or accounting corrections.

Displayed settlement timelines are operational targets, not unconditional guarantees. We may require additional verification before enabling deposits, withdrawals, payouts, credit limits, or wallet functionality.

User responsibilities

You must use the portal lawfully and professionally. You must not misuse credentials, scrape data, copy marketplace content outside authorized workflows, interfere with platform security, submit misleading information, infringe intellectual property, bypass payment flows, or use the portal for unlawful, fraudulent, abusive, or harmful activity.

You are responsible for your users, employees, contractors, and representatives who access the portal under your organization. You must promptly notify us of unauthorized access, compromised credentials, disputed transactions, or material booking issues.

Content and intellectual property

Everything Uganda and its licensors own the platform, software, interface, brand assets, documentation, and non-user content. Operators and other contributors retain rights in content they provide, but grant us a worldwide, non-exclusive license to host, process, display, adapt, distribute, and use that content for marketplace, booking, marketing, support, compliance, and platform operations.

You must have the rights needed for content you upload or submit. We may remove or restrict content that appears inaccurate, unlawful, unsafe, infringing, misleading, or inconsistent with marketplace standards.

Availability and changes

We aim to provide a reliable production service, but we do not guarantee uninterrupted availability, error-free operation, or permanent access to any feature. Maintenance, security incidents, provider outages, regulatory requirements, and product changes may affect access.

We may update features, fees, workflows, policies, or these terms from time to time. Material changes will be communicated through reasonable channels, and continued use after the effective date means you accept the updated terms.

Liability

To the maximum extent permitted by law, Everything Uganda is not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from use of the portal, marketplace content, bookings, operator performance, payment delays, or third-party services.

Where liability cannot be excluded, it is limited to the amount paid to Everything Uganda for the specific service giving rise to the claim during the three months before the event, unless applicable law requires a different limit.

Governing terms and contact

These terms are intended to operate alongside any signed commercial agreement, operator agreement, data processing agreement, payment provider terms, and product-specific booking terms. If a signed agreement expressly conflicts with these terms, the signed agreement controls for that conflict.
